1. AGREEMENT TO TERMS

These Affiliate Partner Terms and Conditions ("Agreement") constitute a legal agreement between you ("Partner", "Affiliate", "You") and Freedom Forge AI ("FFAI", "Company", "We", "Us"), a business operating in Stratford, Connecticut, Fairfield County.

By applying to and participating in the FFAI Affiliate Partner Program, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not participate in the program.

IMPORTANT NOTICE: These terms are subject to review by legal counsel and may be updated. Continued participation after updates constitutes acceptance of revised terms.

2. PROGRAM OVERVIEW

The FFAI Affiliate Partner Program allows approved Partners to earn commissions by referring customers to Freedom Forge AI services through unique tracking links.

3. ELIGIBILITY & APPLICATION

3.1 Application Process

• Applications are submitted via the form on our website

• FFAI will review applications within 72 hours

• Approval is at FFAI's sole discretion

• FFAI reserves the right to reject any application without explanation

3.2 Eligibility Requirements

• Must be 18 years or older

• Must have a legitimate platform (website, social media, email list, etc.)

• Must comply with all applicable laws and regulations

• Must not be a competitor of FFAI

3.3 Approval Criteria Partners with audiences of 1,000+ may receive automatic approval. Smaller audiences will be manually reviewed and may be approved or declined based on:

• Audience alignment with FFAI's target market

• Content quality and professionalism

• Promotional methods proposed

4. COMMISSION STRUCTURE

4.1 Commission Rates

4.2 Commission Eligibility

• Commissions are earned only on completed, paid transactions

• Refunded transactions will result in commission reversal

• Self-referrals are prohibited and will result in termination

4.3 Payment Terms

• Payments processed monthly

• 60-day holding period from date of sale (to account for refunds/chargebacks)

• No minimum payout threshold

• Payments via PayPal or bank transfer (Partner's choice)

• Partners responsible for providing accurate payment information

• Partners responsible for any applicable taxes on earnings

4.4 Payment Schedule Commissions earned in [Month] will be paid by the 15th of [Month + 3]. Example: Sales in January are paid by April 15th (60-day hold + processing time).

5. PARTNER RESPONSIBILITIES

5.1 Promotional Guidelines

Partners MUST:

• Clearly disclose affiliate relationship per FTC guidelines

• Use only approved marketing materials or content found on FFAI website

• Accurately represent FFAI services

• Direct traffic only through provided affiliate links

Partners MAY:

• Use paid advertising (Google Ads, Facebook Ads, etc.) at their own expense

• Create original content about FFAI services using publicly available information

• Promote across multiple channels (social media, email, blog, video, etc.)

Partners MUST NOT:

• Make false or misleading claims about FFAI services

• Use spam or unsolicited bulk email

• Engage in trademark or brand bidding (bidding on "Freedom Forge AI" or variations in paid search)

• Misrepresent their relationship with FFAI (e.g., claiming to be employees)

• Use deceptive practices, incentivized clicks, or fraudulent traffic

• Promote FFAI on websites with illegal, adult, or offensive content

5.2 Advertising Costs Partners are solely responsible for all costs associated with their promotional activities. FFAI is not liable for any advertising expenses incurred by Partners.

5.3 Compliance Partners must comply with:

• FTC endorsement and disclosure guidelines

• CAN-SPAM Act (if using email marketing)

• GDPR (if marketing to EU residents)

• All applicable local, state, and federal laws

6. TRACKING & REPORTING

6.1 Affiliate Links

• Upon approval, Partners will receive unique tracking link(s)

• Links must be used exactly as provided

• Partners may not cloak, redirect, or modify links without permission

• FFAI uses tracking technology to monitor clicks and conversions

6.2 Reporting

• Partners will receive monthly performance reports

• Reports include clicks, conversions, and commission earnings

• FFAI's tracking and reporting systems are final and binding

6.3 Discrepancies Partners must report any tracking discrepancies within 30 days of the reporting period. Claims made after 30 days will not be honored.

7. INTELLECTUAL PROPERTY

7.1 License Grant FFAI grants Partners a limited, non-exclusive, non-transferable license to use FFAI trademarks, logos, and marketing materials solely for promoting FFAI services during the term of this Agreement.

7.2 Usage Restrictions

• Partners may not modify FFAI branding without permission

• Partners may not imply endorsement beyond affiliate relationship

• Partners may not register domains containing "Freedom Forge AI" or similar

• All intellectual property remains the exclusive property of FFAI

7.3 Approved Language Partners may use any language, claims, or content that appears on the official FFAI website without requiring additional approval. Any promotional content not found on the FFAI website must be accurate and not misleading.

8. TERM & TERMINATION

8.1 Term This Agreement begins upon approval and continues until terminated by either party.

8.2 Termination by Partner Partners may terminate participation at any time by providing written notice to partners@freedomforgeai.com. Unpaid commissions from completed sales (past 60-day hold) will be honored.

8.3 Termination by FFAI FFAI may terminate this Agreement immediately, with or without cause, at any time. Common causes for termination include:

• Violation of these Terms and Conditions

• Misrepresentation of FFAI brand or services

• Fraudulent activity or suspicious traffic patterns

• Inactivity for 12+ consecutive months

• Changes to FFAI's business model

8.4 Effect of Termination

• Affiliate links will be deactivated

• Partner must cease all promotional activities

• Unpaid commissions from completed sales (past 60-day hold) will be paid

• Pending commissions (within 60-day hold) are forfeited

• License to use FFAI intellectual property immediately revokes

9. MODIFICATIONS TO PROGRAM

FFAI reserves the right to modify:

• Commission rates

• Program terms

• Approved promotional methods

• Payment terms

Partners will be notified of material changes via email. Continued participation constitutes acceptance of changes.

10. LIMITATION OF LIABILITY

10.1 No Guarantees FFAI makes no guarantees regarding:

• Commission earnings potential

• Traffic volume or conversion rates

• Continued operation of the affiliate program

10.2 Liability Cap FFAI's total liability under this Agreement shall not exceed the total commissions paid to Partner in the 12 months preceding the claim.

10.3 Disclaimer FFAI provides the affiliate program "as is" without warranties of any kind, express or implied.

11. INDEMNIFICATION

Partner agrees to indemnify and hold harmless FFAI from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Partner's breach of this Agreement

• Partner's promotional activities

• Partner's violation of applicable laws

• Third-party claims related to Partner's marketing

12. CONFIDENTIALITY

Partners may not disclose:

• Commission rates of other partners

• Proprietary FFAI business information

• Non-public product or service details

13. INDEPENDENT CONTRACTOR

Partner is an independent contractor, not an employee, agent, or partner of FFAI. Partner is responsible for:

• Own tax obligations

• Business expenses

• Insurance coverage

14. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Connecticut, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Fairfield County, Connecticut.

15. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Partner and FFAI regarding the affiliate program and supersedes all prior agreements or understandings.
